VANCOUVER, B.C., May 2, 2025 – BGX - Black Gold Exploration Corp. (the “Company” or “BGX) (CSE: BGX) (OTCQB: BGXCF) (FRA: P30) is pleased to announce its intention to carry out a non-brokered private placement (the “Offering”) of up to 2,500,000 units of the Company (each a “Unit”) at a price of $0.20 per Unit, for aggregate gross proceeds of up to $500,000. The securities issued under the offering will be subject to a statutory hold period of four months and one day from the date of issuance. Each Unit will consist of one (1) common share in the capital of the Company (a “Common Share”) and one (1) transferable share purchase warrant (a “Warrant”), each Warrant to be exercisable at $0.50 for a period of 24 months following the closing of the Offering, subject to acceleration in the event the Common Shares close above $0.75 for a period of three (3) consecutive trading days.

Completion of the Offering is subject to certain conditions including, but not limited to, receiving adequate subscriptions for the Offering and the receipt of all necessary approvals, including the approval of the Canadian Securities Exchange.

The Company intends to use the net proceeds from the Offering to complete and commence production at the Fritz 2-30 Well and for further drilling activities, marketing activities and general working capital.
